These Terms & Policies (“Terms”) govern your access to and use of GST TalMel — including our website, the web application and the desktop application (together, the “Service”) — provided by AthangAI Innovations LLP (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About the Service
GST TalMel is a data-processing and reconciliation tool for GST returns and related documents. It does not provide tax, legal, accounting or financial advice. All outputs are generated from the data you provide and must be independently verified by a qualified professional before filing or acting upon them. We do not validate the correctness of your source files.
2. Eligibility & Accounts
You must be capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and licence keys, and for all activity that occurs under them.
3. Licences & Activation (Desktop App)
- A desktop licence is granted to you as a limited, non-exclusive, non-transferable, revocable licence to install and use the desktop application on the number of devices permitted by your plan.
- Each licence key is tied to your activated devices. You may free a device to move the licence to another machine using the in-app deactivation option.
- The desktop application checks with our licence server periodically and requires an internet connection at least once within the stated grace period to keep working.
- We may block, suspend or revoke a licence key at any time in cases of key sharing beyond the permitted devices, suspected fraud, chargeback or reversal of payment, breach of these Terms, or misuse of the Service.
4. Pricing & Payments
- Prices, plans, features and packaging may change at any time without prior notice. Any change will not affect the remaining period of a licence you have already paid for.
- All fees are exclusive of applicable taxes, levies or charges, which you are responsible for.
- Desktop pricing consists of a one-time install fee plus an annual licence fee, as shown at the time of purchase. Web plans are billed for the period you select.
- Continued use after the licence or subscription period requires renewal at the then-current price.
5. Free Trial
We may offer a free trial for evaluation purposes. Trials are provided “as-is”, may include limited features, and may be modified, suspended or withdrawn at any time. One trial is intended per customer; we may decline or revoke trials at our discretion.
6. Refunds & Cancellation
We provide a free trial so you can evaluate the Service on your own files before you pay. Except where a refund is required by applicable law, licence fees and one-time install fees are non-refundable once a licence key has been issued. You may choose not to renew at any time.
7. Acceptable Use
You agree not to, and not to permit others to:
- copy, modify, reverse-engineer, decompile, resell, sublicense or redistribute the Service except as expressly permitted;
- share licence keys beyond your permitted devices, or circumvent activation, usage limits or security measures;
- use the Service for any unlawful purpose or in violation of any applicable law or regulation.
8. Intellectual Property
The Service, including its software, design, content and trademarks, is owned by AthangAI Innovations LLP and protected by applicable laws. These Terms do not transfer any ownership rights to you. You retain ownership of the data and files you process.
9. No Government Affiliation
GST TalMel is an independent tool and is not affiliated with, endorsed by, or connected to GSTN, CBIC or any government body. Links to government portals or third-party resources are provided for convenience only.
10. Privacy & Data
In the web application, files are processed and then discarded and are not stored by us. In the desktop application, your files are processed entirely on your own computer and are never uploaded; only your licence key and an anonymous device identifier are sent to us, for activation and licensing. You are responsible for the lawfulness of the data you process.
11. Disclaimers
The Service is provided “as-is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or uninterrupted or error-free operation. You use the Service and rely on its outputs at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, AthangAI Innovations LLP, its members, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill, or for incorrect tax computations, missed deadlines or penalties arising from use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.
13. Indemnity
You agree to indemnify and hold harmless AthangAI Innovations LLP from any claims, damages, liabilities and expenses arising out of your use of the Service or your breach of these Terms.
14. Suspension, Modification & Termination
We may modify, suspend or discontinue any part of the Service — including features, tools or plans — at any time. We may suspend or terminate your access for breach of these Terms or misuse of the Service. Provisions that by their nature should survive termination will survive.
15. Changes to these Terms
We may update these Terms from time to time. Changes are effective when posted on this page with an updated “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the competent courts at the location of AthangAI Innovations LLP’s registered office.
